Welcome to Opsium.
These Terms and Conditions (“Terms”) govern your use of all Opsium services, including:
the Opsium website (www.opsium.io),
the Opsium web platform and workspace,
Opsium APIs, integrations, and connected services,
any software, dashboards, analytics, or features operated under the Opsium brand.
By accessing or using any part of the Opsium Services (“Services”), you agree to comply with these Terms.
If you disagree, do not use the Services.
1. Overview
Opsium is a digital platform for service-based companies to manage operations, capacity, financial performance, track profitability, and streamline team workflows.
These Terms apply to all users, including visitors of the public website, trial users, and paid customers.
In some cases, additional or separate agreements may apply, such as a Master Service Agreement (MSA) or Subscription Terms. If such an agreement exists and conflicts with these Terms, the MSA or Subscription Terms take precedence.
2. Eligibility and Acceptable Use
By using Opsium, you confirm that:
You are at least 18 years old or of legal contracting age in your jurisdiction.
You will use the Services only for lawful purposes.
You will not attempt to:
access data or systems without authorization,
reverse-engineer, interfere with, or disrupt infrastructure,
bypass security mechanisms,
misuse APIs or automated querying tools.
Opsium may suspend or terminate access if such misuse is detected.
3. Data Security, Confidentiality & NDA
Opsium is committed to protecting the confidentiality, integrity, and security of customer data.
3.1 Confidential Information
“Confidential Information” includes (but is not limited to):
company financial data, salaries, rates, margins;
personnel, HR, or performance information;
product roadmaps, processes, internal documents;
data uploaded to the platform or API;
non-public discussions, requests, and shared business details.
Both you and Opsium agree to treat all Confidential Information as strictly confidential and not disclose it to any third party without explicit written consent, except where required by law.
3.2 NDA Protections
By using the Opsium platform, an automatic mutual NDA obligation is formed between the user and Opsium:
Opsium will not disclose or use your confidential data for any purpose other than providing the Services.
You will not disclose Opsium’s proprietary information, algorithms, designs, or platform internals to third parties.
This NDA applies whether or not a separate signed document exists.
3.3 Data Encryption & Storage
Opsium uses bank-level encryption:
Data in transit: TLS 1.2+
Data at rest: AES-256
All customer data is stored on Amazon Web Services (AWS) with:
automated backups,
redundancy and failover mechanisms,
restricted physical access.
3.4 No Data Sharing With Third Parties
Opsium never sells, rents, or shares customer data with third parties.
Data is used only to provide and improve the Services.
3.5 Role-Based Access Control (RBAC)
Opsium implements strict permissions, ensuring that:
Sensitive financial data (compensation, margins, rates) is only visible to authorized roles.
Admin users can fully configure permissions to match the internal company structure.
Access logs and controls follow security best practices.
4. Intellectual Property
All content and materials within the Opsium Services, including but not limited to text, visuals, graphics, illustrations, branding elements, user interface designs, layouts, data structures, platform architecture, and all underlying source code and software components, are the exclusive property of Opsium or its licensors and are protected by applicable intellectual property and copyright laws.
Except where expressly permitted in writing by Opsium, you may not:
reproduce, copy, modify, publish, or distribute any part of the Services;
reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of any software;
create derivative works based on the Services, the platform, or any of its components;
use any Opsium content or assets to develop competing products or services.
The “Opsium” name, logo, trademarks, service marks, and all related brand elements, whether registered or unregistered, are the protected intellectual property of Opsium.
They may not be used, imitated, or incorporated into other branding, marketing, or products without prior written authorization.
All rights not expressly granted to you in these Terms remain fully reserved by Opsium.
5. API Usage
If you use the Opsium API, you must:
secure your API keys,
avoid exceeding rate limits,
avoid using the API for competing services or for unauthorized data extraction.
Opsium may revoke API access for misuse.
6. Third-Party Integrations
If you connect third-party tools (e.g., AWS, Google Workspace, accounting, or HRIS systems), you do so at your own risk.
Opsium is not responsible for:
failures of third-party services,
security vulnerabilities in external tools,
data loss due to third-party integrations.
7. Disclaimer of Warranties
Opsium Services are provided “as is”, without warranties or guarantees of:
uninterrupted uptime,
error-free performance,
accuracy or completeness of analytics,
compatibility with all devices or browsers.
You use the Services at your own risk.
8. Limitation of Liability
To the extent permitted by law, Opsium is not liable for:
indirect, incidental, or consequential damages,
financial losses, loss of profits, or loss of business opportunities,
data loss caused by user error, integrations, or external systems.
Where liability cannot be excluded, it is strictly limited to the amount paid for the Services during the previous 12 months.
9. Privacy
Your use of Opsium is governed by our Privacy Policy, which details:
what data we collect,
how we process it,
data retention practices,
your rights as a user.
Please review it carefully before submitting information.
10. Updates and Modifications
Opsium may update these Terms from time to time to reflect system changes, legal requirements, or product updates.
The “Last updated” date will be changed accordingly.
Continued use of the Services after updates indicates acceptance of the revised Terms.
11. Governing Law
The laws of the European Union govern these Terms, and the laws of the jurisdiction in which Opsium’s principal place of business is located.
Any disputes arising from or relating to these Terms will be resolved exclusively by the competent courts of that jurisdiction, unless applicable law requires otherwise.
